1. Acceptance of the Terms of Services

These Website Terms of Services are entered into by and between you and Cashly Rewards ("Cashly", "we", or "us"). These terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms of Services" or "Terms"), govern your access to and participation in certain market activities and your use of cashlyrewards.com to earn Rewards (as defined below), including any content, features, emails, text (SMS) messages, online services, functionality, services, and mobile applications offered on or through cashlyrewards.com (collectively, "Website"), whether as a guest or a registered user.

PLEASE READ THE TERMS OF SERVICES CAREFULLY BEFORE YOU START TO USE THE WEBSITE. BY USING THE WEBSITE OR BY CLICKING TO ACCEPT OR AGREE TO THE TERMS OF SERVICES WHEN THIS OPTION IS MADE AVAILABLE TO YOU, YOU ACCEPT AND AGREE TO BE BOUND AND ABIDE BY THESE TERMS OF SERVICES AND OUR PRIVACY POLICY, INCORPORATED HEREIN BY REFERENCE. If you do not want to agree to these Terms of Services or the Privacy Policy, you must not access or use the Website.

2. Eligibility

This Website is offered and available to users who are at least 16 years of age or older. By using this Website, you represent and warrant that you are at least 16 years old and of legal age to form a binding contract with Cashly and meet all of the foregoing eligibility requirements. IF YOU DO NOT MEET ALL OF THESE REQUIREMENTS, YOU MUST NOT ACCESS OR USE THE WEBSITE.

Participation on the Website is limited to only one (1) account per person and only one (1) account per household.

3. Changes to the Terms of Services

We may revise and update these Terms of Services from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Website thereafter. Your continued use of the Website following the posting of revised Terms of Services means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

4. Access to Use of Our Website

Subject to all of the provisions of these Terms of Services, Cashly hereby grants you a limited, terminable, non-transferable, personal, non-exclusive right to access and use the Website solely as provided herein. You agree to use our Website only for purposes that are permitted by these Terms of Services and any applicable law, regulation, or generally accepted practices in the relevant jurisdictions. All information you provide to register with this Website or otherwise is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

5. Rewards Programs

Cashly may offer one or more rewards programs ("Rewards Programs") under which you may have the opportunity to receive points that are also referred to as coins, dollar amounts, points, and other credits/rewards (collectively, "Rewards") related to your participation in or interaction with various game offers, advertising, content, shopping opportunities, special offers, surveys, coupons, location-based deals, and other Rewards opportunities (collectively, "Offers").

Regardless of whether they are expressed as coins or dollar amounts, Rewards have no cash, monetary, or other value and are only redeemable for gift cards or other prizes or redemption methods as may be offered by the Rewards Program from time to time (collectively, "Redemption Prizes"), subject to these Terms of Services and the Rewards Program redemption requirements at the time of redemption. On CASHLY, 1,000 coins equals $1.00 in redemption value.

6. Rewards Have No Monetary Value and Are Nontransferable

You agree and acknowledge that unredeemed Rewards in your Account have no cash, monetary, or other value, remain the sole property of Cashly, and are only redeemable for such Redemption Prizes as Cashly may elect to offer in the Rewards Program from time to time, subject to these Terms of Services and the Rewards Program redemption requirements at the time of redemption.

7. Rewards

You may receive Rewards in a Rewards Program by participating in various Offers, as described in the applicable Rewards Program. Cashly will deposit any Rewards for Offers that you choose to participate in and successfully complete into the account that you established when you joined the Rewards Program (the "Account").

Rewards are deemed successfully completed once you have fully and properly satisfied all of the requirements of the Offer in the manner specified in the Offer (including any time limitations or waiting periods) and in compliance with these Terms of Services, and Cashly and/or its third-party Rewards Program partners are able to properly validate and track your record.

For the avoidance of doubt, Cashly shall not be responsible for, nor obligated to award Rewards to you for, any Offer that is not properly recorded, tracked, validated and/or deemed a successfully completed Reward under Cashly's and/or its third-party partners' policies, procedures and systems. In some instances, our third-party partners, rather than Cashly, may make the final determination of whether an Offer has been successfully completed.

We reserve the right to: (i) change or limit the Offers or Rewards available or your ability to participate in certain Offers or the Rewards Program itself, (ii) change or limit the eligibility for or allowable frequency of Offers, and (iii) change or limit the number or type of Rewards you can receive for a given Offer or during a given time period.

7a. Optional device-data features

Cashly offers optional features that, with your permission (consent), use information from your device: (i) your list of installed apps, to select and personalise the Offers shown to you; and (ii) on Android, app-usage information via the usage-access permission ("PlayTime"), to measure your use of apps and games that are part of Cashly Offers and calculate your Rewards. Both are optional and can be enabled or disabled at any time in your device or app settings; declining does not prevent you from using your Account, though PlayTime must be enabled for Offers or Rewards that rely on usage measurement. Your use of these features is subject to our Privacy Policy.

8. Redeeming Rewards

Redemptions and payouts may be subject to identity and eligibility verification as described in Section 9, including a KYC process prior to your first payout or redemption.

Supplies of Redemption Prizes may be limited and may be awarded on a first come, first serve and while-supplies-last basis. If you attempt to redeem Rewards for a Redemption Prize and Cashly determines that the Redemption Prize is unavailable, Cashly may, in its sole discretion, provide you with a Redemption Prize of equal or greater value.

All redemptions are final. No re-crediting, reversal, or refund of Rewards will be issued for any reason after Rewards have been successfully redeemed. We have the right to temporarily hold any offer credits up to 90 days after an Offer has been completed.

9. Verifying Identity and Eligibility

Cashly reserves the right to verify your identity to our complete satisfaction prior to crediting or allowing redemption of any Rewards, issuing or delivering any Redemption Prizes, or otherwise providing you with access to your Account. We may do so by requesting — either directly or indirectly via a third-party verification service — a clear, valid, complete, current, and readable copy of your passport, driver's license, or state ID card, by requiring you to verify the mobile phone number associated with your Account, or by such other proof of identity or eligibility as we may require, including proof of address or residency and evidence relating to your completion of an Offer. Any identity document provided must be valid and unexpired at the time of verification.

Failure or refusal to provide requested documentation or proof of identity or eligibility in a valid and timely manner is grounds for denying access to or any benefit associated with the Website or your Account. While we will tell you what documentation or information we require, we are not obliged to disclose the specific fraud-prevention or verification signals or methods underlying a verification decision, subject to your rights under applicable mandatory law (see Section 17.5).

10. Redemption Prizes

Redemption Prizes are digital and delivered electronically to the email address then associated with your Account or as otherwise provided in the applicable Rewards Program.

Where we are unable to deliver a Redemption Prize or it goes unclaimed for whatever reason, you authorize us, where possible, to cancel or reverse the redemption and restore the associated Rewards to your Account so that you can attempt to redeem such Rewards again; provided, however, that we shall not be liable to you for any inability or failure to do so.

10a. Gift Cards

Cashly may offer digital gift cards ("Gift Cards") for purchase or redemption through the Website or App in certain regions or for certain users. The availability, denominations, participating issuers or merchants, and applicable conditions for Gift Cards may vary and will be displayed at the point of purchase or redemption.

Gift Cards are delivered digitally (e.g. by email or in the App). Cashly reserves the right to apply reasonable fraud, payment, and identity verification measures prior to issuing or delivering a Gift Card, and may refuse, suspend, or cancel a transaction that cannot be verified or is reasonably suspected to be fraudulent. Payments are processed via regulated third-party payment service providers; Cashly itself does not provide payment services.

Gift Cards are provided by Cashly as a reseller and are redeemable solely with the respective issuer or merchant, subject to the issuer's terms and conditions. Cashly is not the issuer and is not responsible for the goods or services provided by the issuer, nor for the issuer's refusal or inability to honor a Gift Card.

To the fullest extent permitted by applicable law, Gift Card transactions are final and cannot be cancelled, exchanged, returned, or refunded once delivered (including where a code has been issued). The risk of loss passes to the user upon digital delivery, and users are responsible for safeguarding Gift Card codes against unauthorized use.

In the event of suspected fraud, abuse, chargebacks, payment reversals, or other violations of these Terms, Cashly may suspend or cancel Gift Card transactions, deactivate Gift Cards, and/or withhold or reverse associated benefits, including Rewards. Users are responsible for any personal taxes, duties, or similar charges associated with the purchase or use of Gift Cards.

11. Inactive Accounts

Any account that has not been logged into for a period of one (1) year or longer may be considered inactive and may be closed by us in accordance with this provision, regardless of whether any Rewards, balances, or other benefits remain on the account.

Prior to final closure, we will notify you at least thirty (30) days in advance by email to the address associated with your account and provide you with the opportunity to log in again or request reactivation within this period. If no action is taken within this period, we are entitled to permanently close the account, and any remaining Rewards, balances, or other benefits shall expire unless mandatory statutory provisions provide otherwise. 12. Rewards Expiration

We may adopt or modify our Rewards expiration rules and policies for any past, present, or future Rewards from time to time, and if your Rewards expire pursuant to such then-current rules, we may remove such Rewards from your Account without any compensation or further obligation to you. If you wish to request re-crediting of expired Rewards (subject to such terms and limitations as we may impose), please contact support@cashlyrewards.com.

13. Sweepstakes, Contests and Promotions

Any sweepstakes, contests, or promotions (collectively, "Promotions") offered via the Website may be governed by additional promotional terms ("Additional Promotional Terms"), including official rules, which may set out eligibility requirements such as age or geographic restrictions and details governing how your personal information may be used. In the event of a conflict between these Terms of Services and Additional Promotional Terms, the Additional Promotional Terms shall prevail.

It is your responsibility to read any applicable Additional Promotional Terms to determine whether you want to or are eligible to participate. Sponsors or partners of Promotions may have their own terms and conditions; please review them carefully.

13.1 Weekly Lottery

Cashly may offer a recurring promotional prize draw (the "Weekly Lottery") under which eligible users may receive free entries ("Tickets") for a chance to win prizes. Participation is free of charge and no purchase or payment is required to enter or win.

The Weekly Lottery offers a set of prizes for each draw; the number, type, and value of prizes are determined by Cashly and may vary from draw to draw. Winners are drawn at random on a per-prize basis, in descending order of value, with each Ticket representing one (1) entry. Each user may win a maximum of one (1) prize per draw, and once a user is drawn as a winner, that user's remaining Tickets are removed from the draw. The Weekly Lottery is void where prohibited or restricted by applicable law.

13.2 Lottery Tickets and Entry Mechanics

Tickets may be granted through user engagement activities made available on the Website or App, including participation in Offers, platform features, or voluntary advertisement viewing. Viewing ads is voluntary, no payment is required, and watching advertisements does not constitute consideration for participation.

All valid Tickets granted during a given weekly period are automatically entered into that week's draw, and a user's chance of winning increases in proportion to the number of valid Tickets held. Tickets are non-transferable, have no monetary value, cannot be redeemed for cash or other compensation, and apply exclusively to the period in which they were issued. All unused or non-winning Tickets expire immediately upon completion of the respective draw.

13.3 Disqualification and Abuse

Cashly reserves the right to invalidate Tickets, disqualify participants, withhold prizes, or revoke winnings if it determines, in its sole discretion, that Tickets were obtained through fraud, automation, bots, scripts, VPN/proxy misuse, or technical manipulation; that the user violated these Terms; or that participation otherwise undermines the integrity of the Weekly Lottery. All decisions regarding eligibility, ticket validity, winner selection, and prize allocation are final and binding.

13.4 Modification and Discontinuation

Cashly reserves the right, at its sole discretion, to modify, suspend, or discontinue the Weekly Lottery (including prize structure, entry mechanisms, timing, or eligibility requirements) at any time without prior notice. Participation in prior draws does not create any entitlement to continued operation of the Weekly Lottery.

14. Taxes

You acknowledge and agree that we do not have the ability, in every instance, to determine whether Rewards you received or redeemed are considered reportable income or taxable earnings in your jurisdiction. You are therefore responsible for any and all tax liability arising from or associated with your use of the Website and/or participation in the Rewards Program. As a condition of your continued use of the Website, we reserve the right to require you to provide necessary tax reporting information. We encourage you to seek the advice of a tax expert.

15. Your Account

To access the Website or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide is correct, current, and complete.

By using our services, you agree to receive essential service-related communications, such as account notifications, transaction confirmations, and security updates. These communications are necessary for the functioning of the service and cannot be opted out of. You may also receive notifications about features and offers, which you can opt out of at any time via the unsubscribe link or your account settings.

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential and must not disclose it to any other person or entity. Your account is personal to you, and you agree not to provide any other person with access to the Website using your credentials. You agree to notify us immediately of any unauthorized access.

We have the right to disable any username, password, or other identifier at any time in our sole discretion, including if, in our opinion, you have violated any provision of these Terms of Services. We also reserve the right to withdraw or amend the Website without notice, and we will not be liable if all or any part of the Website is unavailable at any time or if we prevent you from using the site.

16. Use of the Website

These Terms of Services permit you to use the Website for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except for temporary browser caching and printing or downloading one copy of a reasonable number of pages for your own personal, non-commercial use. If we provide desktop, mobile, or other applications for download, you may download a single copy to your device solely for your own personal, non-commercial use.

You must not modify copies of any materials from this site, use any illustrations, photographs, video or audio sequences or graphics separately from the accompanying text, or delete or alter any copyright, trademark, or other proprietary rights notices. You must not access or use for any commercial purposes any part of the Website.

If you use or provide any other person with access to any part of the Website in breach of the Terms of Services, your right to use the Website will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in the Website is transferred to you, and all rights not expressly granted are reserved by Cashly.

17. Restrictions and Prohibited Uses

You may use the Website only for lawful purposes. You agree not to use the Website:

• In any way that violates any applicable federal, state, local, or international law or regulation.
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
• To send, knowingly receive, upload, download, use, or re-use any material which does not comply with the Content Standards set out in these Terms of Services.
• To transmit, or procure the sending of, any advertising or promotional material, including "junk mail", "chain letters", "spam", or similar solicitation.
• To impersonate or attempt to impersonate Cashly, a Cashly employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Website, or which may harm Cashly or users of the Website or expose them to liability.
• To engage in any fraudulent activity, including masking or forging your identity, submitting false information during registration, submitting false or untrue data, redeeming or attempting to redeem Rewards through false or fraudulent means, and tampering with surveys or Offers.
• To use macros, bots, scripts, or any other automation tools designed to simulate or replicate human user activity, including automating clicks, movements, or tasks within offers or apps.

Additionally, you agree not to:

• Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Website.
• Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any material on the Website.
• Use any manual process to monitor or copy material on the Website without our prior written consent.
• Use any device, software, or routine that interferes with the proper working of the Website.
• Use the Website via fraudulent means. You agree not to use VPN, proxy, or emulator software on our Website, and not to use fake SMS numbers, Google Voice, or VOIP when verifying your phone number.
• Introduce any viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, its servers, or any connected database.
• Attack the Website via a denial-of-service or distributed denial-of-service attack.

17.3 Account Reviews and Requests for Information

As part of our efforts to maintain the integrity of the Website and our Rewards Programs and to prevent fraud and abuse, Cashly (including its fraud-prevention, security, and compliance teams) may from time to time carry out routine or targeted account reviews. In connection with any such review, you agree to provide, within a reasonable time of our request, any additional information, evidence, or documentation we may reasonably request, including proof of purchase or transaction records, proof of identity, proof of address or residency, and evidence relating to your completion of an Offer.

Any information you provide must be valid, accurate, complete, and current, and will be handled in accordance with our Privacy Policy. Failure or refusal to provide the requested information within a reasonable time, or the provision of information we determine to be false, incomplete, or misleading, may result in the withholding, suspension, or forfeiture of Rewards and/or the suspension or termination of your Account, in accordance with Section 19.

17.4 Conduct on Official Communities and Connected Platforms

We may operate, or make available, official communities, servers, or channels on third-party communication platforms (e.g. Discord), and may provide support or otherwise interact with you there (collectively, "Community Channels"). Your access to and use of any Community Channel is also subject to these Terms of Services, including the Content Standards in Section 20, and to the rules of the relevant third-party platform.

You agree to conduct yourself lawfully and respectfully on all Community Channels and not to engage in any abusive, harassing, threatening, hateful, fraudulent, deceptive, or otherwise objectionable conduct, including toward our staff, moderators, or other users. Misconduct on any Community Channel may, in our sole discretion, be treated as a breach of these Terms and result in suspension or termination of your Account and forfeiture of unredeemed Rewards, even where the conduct occurs off the Website.

17.5 Confidentiality of Fraud-Prevention Systems

Our fraud-prevention, security, and account-integrity systems — including the specific signals, indicators, rules, thresholds, models, and detection methods we use to identify fraud, abuse, automated activity, multi-accounting, or other violations of these Terms — are confidential and proprietary to Cashly and/or our service providers. To protect the integrity of the Website and prevent circumvention, we are not obliged to disclose, and may decline to disclose, these signals, methods, or the detailed reasons underlying any specific detection, review outcome, restriction, suspension, or forfeiture. Nothing in this Section limits any rights you may have under applicable mandatory law, including, where applicable, the right to be informed of the general basis of a decision, to obtain human review of a decision taken solely by automated means, and to contest that decision.

18. User Contributions

The Website may contain message boards, chat rooms, profiles, forums, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit content or materials (collectively, "User Contributions"). All User Contributions must comply with the Content Standards set out in these Terms of Services.

Any User Contribution you post will be considered non-confidential and non-proprietary. By providing any User Contribution, you grant us and our affiliates and service providers, and each of their respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material according to your account settings.

You represent and warrant that you own or control all rights in and to your User Contributions and that they comply with these Terms. You are responsible for any User Contributions you submit, including their legality, reliability, accuracy, and appropriateness. We are not responsible or liable to any third party for the content or accuracy of any User Contributions.

19. Monitoring and Enforcement; Termination

We have the right to:

• Remove or refuse to post any User Contributions for any or no reason.
• Take any action with respect to any User Contribution we deem necessary or appropriate, including if we believe it violates these Terms, infringes any right of any person or entity, threatens personal safety, or could create liability for Cashly.
• Disclose your identity or other information to any third party who claims that material posted by you violates their rights.
• Take appropriate legal action, including referral to law enforcement, for any illegal or unauthorized use of the Website.
• Terminate or suspend your access to all or part of the Website for any or no reason, including any violation of these Terms of Services.
• Limit, suspend, or terminate your ability to participate in a Rewards Program, and suspend or void any Rewards you may have accumulated but not yet successfully redeemed if we determine that you have not complied with these Terms.
• Change, suspend, or cancel all or a portion of a Rewards Program, including any unredeemed Rewards, at any time, without prior notice or compensation to you.

YOU WAIVE AND HOLD HARMLESS CASHLY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

We cannot review all material before it is posted and cannot ensure prompt removal of objectionable material after posting. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. Any determination described in this Section may be based on our fraud-prevention, security, and account-integrity systems, and we are not obliged to disclose the specific signals or methods underlying such a determination (see Section 17.5).

20. Content Standards

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must comply in their entirety with all applicable laws and regulations. Your User Contributions must not:

• Contain any material which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
• Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
• Violate the legal rights (including rights of publicity and privacy) of others or contain any material that could give rise to civil or criminal liability.
• Be likely to deceive any person.
• Manipulate the results of any survey, prize draw, or contest.
• Promote any illegal activity, or advocate, promote, or assist any unlawful act.
• Cause annoyance, inconvenience, or needless anxiety, or be likely to upset, embarrass, alarm, or annoy any other person.
• Impersonate any person or misrepresent your identity or affiliation with any person or organization.
• Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
• Give the impression that they emanate from or are endorsed by us or any other person or entity if this is not the case.

21. Intellectual Property Rights

The Website and its entire contents, features, and functionality (including all information, software, text, displays, images, video and audio, and the design, selection, and arrangement thereof) are owned by Cashly, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The Cashly name, the CASHLY trademarks, the Cashly logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Cashly or its affiliates or licensors. You must not use such marks without the prior written permission of Cashly.

22. Copyright Policy

If you believe that any User Contributions violate your copyright, please contact support@cashlyrewards.com with a notice of copyright infringement. It is the policy of Cashly to terminate the user accounts of repeat infringers.

23. Reliance on Information Posted

The information presented on or through the Website is made available solely for general information purposes. We do not guarantee the accuracy, completeness, or usefulness of this information, and any reliance you place on it is strictly at your own risk.

This Website includes content provided by third parties. All statements and opinions expressed in such materials are solely those of the person or entity providing them and do not necessarily reflect the opinion of Cashly. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by third parties.

24. Changes to the Website

We may update the content on this Website from time to time, but its content is not necessarily complete or up to date. Any of the material on the Website may be out of date at any given time, and we are under no obligation to update such material.

25. Linking to the Website and Social Media Features

You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part.

You may share a link to this Website using our Affiliate feature to invite a family member or friend; however, you are responsible for obtaining their consent to use their personal information to send the invitation. You must not establish a link from any website that is not owned by you, or cause the Website or portions of it to be displayed by framing, deep linking, or in-line linking on any other site. We reserve the right to withdraw linking permission without notice and to disable any social media features at any time.
